Domain Registration Agreement

This Domain Registration Agreement ("Agreement") is entered into between you ("Registrant", "you", or "your") and SIA ROOTAPI, registration number 40203090070, VAT number LV40203090070, located at Briezu iela 7 - 55, LV-1034, Riga, Latvia ("NetPoint", "we", "us", or "our"), and governs your registration and use of domain names through our services at netpoint.io.
By registering a domain name through NetPoint, you acknowledge that you have read, understood, and agree to be bound by all terms and conditions of this Agreement.
1. Sponsoring Registrar
NetPoint provides domain registration services as an authorized reseller of Internet.bs Corp. (IANA Registrar ID #2487), an ICANN-accredited registrar. Internet.bs Corp. is the sponsoring registrar of record for domain names registered through our platform. You may verify the sponsoring registrar for any domain name by using the InterNIC WHOIS Lookup.
As a reseller, NetPoint acts as an intermediary between you and the sponsoring registrar. The sponsoring registrar's registration agreement and policies also apply to your domain registration and are incorporated herein by reference.
2. Domain Name Registration
2.1. Registration Process. By submitting a domain name registration request through NetPoint, you are requesting that we process the registration on your behalf through the sponsoring registrar. Registration of a domain name is not guaranteed until the registration is confirmed and the domain appears in the applicable registry database.
2.2. Eligibility. You represent that you meet any eligibility requirements imposed by the applicable registry for the top-level domain (TLD) under which you are registering. Some TLDs have specific eligibility, residency, or use requirements.
2.3. First Come, First Served. Domain name registrations are processed on a first-come, first-served basis. We do not guarantee the availability of any domain name until registration is fully completed.
3. Registration Term, Renewal, and Deletion
3.1. Registration Term. Domain names are registered for a fixed term, typically one (1) year, unless a longer term is selected and paid for at the time of registration. The maximum registration term varies by TLD but generally does not exceed ten (10) years.
3.2. Renewal. It is your sole responsibility to ensure that your domain name is renewed before its expiration date. We will send renewal reminders to the email address on file, but failure to receive such reminders does not relieve you of the obligation to renew. You may renew your domain name at any time during the registration term through your account at panel.netpoint.io.
3.3. Auto-Renewal. If auto-renewal is enabled on your account and a valid payment method is on file, we will attempt to renew your domain name automatically before its expiration date. You may disable auto-renewal at any time through your account panel.
3.4. Expiration. If a domain name is not renewed before its expiration date, it will enter a grace period during which renewal may still be possible, typically at the standard renewal price. The length of the grace period varies by TLD and registry policy.
3.5. Redemption Period. After the grace period, expired domain names may enter a redemption period established by the applicable registry. During the redemption period, the domain may be recoverable, but additional fees may apply. Redemption fees vary by TLD and are separate from standard renewal fees.
3.6. Deletion. If a domain name is not renewed or redeemed within the applicable time periods, it will be deleted from the registry and become available for registration by the general public. NetPoint is not responsible for the loss of any domain name due to non-renewal.
4. Registrant Obligation to Provide Accurate WHOIS Data
4.1. Accuracy Requirement. You agree to provide accurate, complete, and current registration data (commonly referred to as "WHOIS data") at the time of registration and to promptly update this information during the term of the registration. This includes, but is not limited to, the registrant's name, postal address, email address, telephone number, and, where applicable, organization name.
4.2. Consequences of Inaccuracy. Willful provision of inaccurate or unreliable information, willful failure to update information promptly, or failure to respond to inquiries regarding the accuracy of contact details within fifteen (15) days shall constitute a material breach of this Agreement. Such breach may result in the suspension or cancellation of the domain name registration.
4.3. WHOIS Data Verification. We may, at our discretion or as required by ICANN policy, request that you verify the accuracy of your WHOIS data. Failure to respond to such verification requests within the specified timeframe may result in suspension of the domain name.
4.4. Registrant Data Directory Services. Registration data may be made publicly available through the Registration Data Directory Services (WHOIS/RDAP) in accordance with applicable ICANN policies and data protection laws, including the EU General Data Protection Regulation (GDPR). Where applicable, personal data may be redacted from public WHOIS in compliance with GDPR.
5. Privacy and Proxy Registration Services
5.1. Privacy Services. NetPoint may offer WHOIS privacy protection services that replace your personal contact information in the public WHOIS database with alternative contact information. When privacy protection is enabled, the underlying registrant remains the same, and you retain full control of the domain.
5.2. Proxy Services. If you register a domain through a proxy registration service, you acknowledge that the proxy provider is listed as the registrant of record on your behalf. You understand that the proxy provider may be required to disclose your identity in response to lawful requests, UDRP proceedings, or as otherwise required by ICANN policy or applicable law.
5.3. Disclosure. You acknowledge that the use of privacy or proxy services does not exempt you from your obligations under this Agreement, including the obligation to provide accurate registration data and to comply with applicable ICANN policies.
6. Consent to ICANN Policies
6.1. You agree to be bound by all current and future ICANN Consensus Policies applicable to registrants, as published at ICANN Consensus Policies. These policies may be modified from time to time, and such modifications shall be binding upon you.
6.2. You acknowledge that ICANN may, from time to time, adopt new consensus policies that affect registrants, and you agree to comply with any such policies upon their effective date.
7. Domain Name Dispute Resolution
7.1. UDRP. You agree to submit to the Uniform Domain-Name Dispute-Resolution Policy ("UDRP") as adopted by ICANN and as may be amended from time to time. The UDRP is available at https://www.icann.org/resources/pages/help/dndr/udrp-en. The UDRP is incorporated by reference into this Agreement.
7.2. URS. For applicable new gTLDs, you also agree to submit to the Uniform Rapid Suspension System ("URS") as adopted by ICANN.
7.3. Proceedings. In the event of a dispute concerning your domain name registration, you agree to participate in the applicable dispute resolution proceeding. You acknowledge that a domain name registration may be suspended, cancelled, or transferred as a result of such proceedings.
7.4. Court Proceedings. Nothing in this Agreement prevents you from seeking resolution of a domain name dispute through a court of competent jurisdiction, whether before, during, or after a UDRP or URS proceeding.
8. Domain Name Transfer Policy
8.1. Transfer Rights. You have the right to transfer your domain name to another registrar at any time, subject to the ICANN Transfer Policy and any applicable registry restrictions.
8.2. 60-Day Lock. In accordance with ICANN's Transfer Policy, domain names are subject to a sixty (60) day lock following initial registration or a change of registrant (as applicable). During this period, the domain cannot be transferred to another registrar. You may request to opt out of the 60-day transfer lock following a change of registrant, as permitted by ICANN policy.
8.3. Authorization. Transfer requests require authorization from the current registrant. An authorization code (also called an EPP code or transfer key) will be provided upon request through your account panel.
8.4. No Obstruction. NetPoint will not obstruct or interfere with legitimate domain transfer requests. We will process transfer approvals in accordance with ICANN's Transfer Policy timeframes.
9. Registrant Rights to Domain Data Portability
9.1. You have the right to obtain a copy of your domain registration data at any time through your account panel at panel.netpoint.io.
9.2. Upon request, we will provide you with all registration data associated with your domain name(s), including but not limited to WHOIS contact information, DNS records, nameserver configurations, and authorization codes necessary for domain transfer.
9.3. This right to data portability is in addition to any rights you may have under the EU General Data Protection Regulation (GDPR) or other applicable data protection legislation.
10. Registrant Benefits and Responsibilities
10.1. As a domain name registrant, you have certain rights and responsibilities as defined by ICANN. We encourage you to review the following ICANN resources:

10.2. Your Responsibilities. As a domain name registrant, you are responsible for:
- Maintaining accurate and up-to-date WHOIS contact information;
- Responding to inquiries from the registrar regarding the accuracy of your contact data;
- Renewing your domain name registration before expiration;
- Complying with applicable ICANN policies, including the UDRP;
- Ensuring that your use of the domain name does not infringe on the rights of third parties;
- Monitoring your email for important communications regarding your domain registration.
11. Fees and Payment
11.1. Registration and Renewal Fees. Domain registration and renewal fees are as listed on our website at the time of registration or renewal. All prices are in EUR and exclude applicable VAT unless otherwise stated.
11.2. Price Changes. We reserve the right to modify our fees at any time. Price changes will not affect existing registration terms but will apply to renewals and new registrations. We will provide reasonable advance notice of price changes.
11.3. Refunds. Domain registration fees are generally non-refundable once the registration has been processed, as domain registrations involve third-party registry transactions. Refund eligibility may vary by TLD and will be determined on a case-by-case basis.
12. Limitation of Liability
12.1. To the maximum extent permitted by applicable law, NetPoint, its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with the registration or use of a domain name.
12.2. Our total aggregate liability for any claim arising out of or related to this Agreement shall not exceed the total fees paid by you to NetPoint for the domain name registration in question during the twelve (12) months preceding the claim.
12.3. We shall not be liable for any loss arising from the expiration, suspension, cancellation, or transfer of a domain name where such action was taken in accordance with this Agreement, ICANN policy, or applicable law.
13. Indemnification
You agree to indemnify, defend, and hold harmless NetPoint (SIA ROOTAPI), Internet.bs Corp. (the sponsoring registrar), and ICANN, as well as their respective directors, officers, employees, agents, and affiliates, from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your domain name registration or use, including but not limited to trademark infringement claims, UDRP proceedings, or your breach of this Agreement.
14. Termination and Cancellation
14.1. By Registrant. You may cancel your domain name registration at any time through your account panel. Cancellation of a domain name registration will not entitle you to a refund of registration fees.
14.2. By NetPoint. We may suspend or cancel your domain name registration if you materially breach this Agreement, provide inaccurate WHOIS data, fail to respond to verification requests, or if required by law, ICANN policy, or a dispute resolution proceeding.
14.3. Effect of Termination. Upon termination, your domain name will be handled in accordance with the applicable registry's deletion and redemption policies.
15. Governing Law and Jurisdiction
15.1. This Agreement shall be governed by and construed in accordance with the laws of the Republic of Latvia and applicable European Union regulations, without regard to conflict of law principles.
15.2. Any disputes arising out of or in connection with this Agreement shall be submitted to the exclusive jurisdiction of the courts of Riga, Latvia, except where ICANN policy requires submission to a specific dispute resolution procedure (such as the UDRP).
15.3. Nothing in this Agreement limits your rights under mandatory consumer protection laws of your country of residence, where applicable.
16. Modifications to This Agreement
16.1. We reserve the right to modify this Agreement at any time. Material changes will be communicated to you via email or through notice on our website at least thirty (30) days before they take effect.
16.2. Your continued use of our domain registration services after the effective date of any modification constitutes your acceptance of the modified Agreement.
